1. Materials and ownership

This license covers the Modera skill, local tools, documentation and other Modera materials supplied with or expressly referring to this license (the “Materials”), solely to the extent Gagan Gupta owns or controls the applicable rights. The Materials are licensed, not sold. Rights not expressly granted are reserved. Public availability and readable source code do not grant an open-source license. The downloadable Materials are not represented as confidential.

This license claims no exclusive rights over ideas, methods, functionality, facts, ordinary clothing vocabulary, public-domain material or other subject matter that applicable law does not protect. It does not assert that AI-generated material is necessarily copyrightable. Third-party components and notices are addressed in section 4.

2. Permission for personal wardrobe use

Subject to this license, you receive a non-exclusive, worldwide, royalty-free, non-transferable license to download, inspect, install, configure, execute, update and make reasonable backup copies of the Materials for your own personal wardrobe management and outfit use through Muse. You may make local adaptations reasonably necessary for that permitted use. These permissions do not require an account or a paid Modera subscription.

You may authorize Muse and the hosting providers necessary to operate your Muse to make and process copies on your behalf solely to provide that permitted functionality. This includes loading the instructions into Muse's working context and using the local tools. It does not authorize redistribution as a separate product, unrelated reuse, or training a general-purpose model on the Materials. Sharing a link to the official Modera download page is permitted. API access is separately authorized and subject to the connection terms.

3. Limits on the permission

Except as expressly permitted above, by a separate written permission from Gagan Gupta, by applicable law, or by a controlling third-party license, you may not reproduce or distribute the protected Materials or substantial protected portions to others; sell, sublicense, rent, publish, mirror or offer them as a hosted service; rebrand them as your own; or incorporate them into another distributed product or competing service. These limits apply to original and modified copies.

Retain applicable copyright, license and attribution notices in copies made under this license. No permission is granted to remove or conceal those notices, falsely claim authorship, or imply Modera's endorsement. No trademark license is granted beyond truthful identification of Modera and the permitted use of the Materials. You may not use copies of protected Materials to train or develop a competing product or model under this license. Independent development and uses that do not require our permission under applicable law are not prohibited by this provision.

4. Third-party and user rights

Third-party software, models, services and other material remain subject to their own licenses and terms. Those terms control the relevant third-party portions; this license does not reduce any rights they grant. See the accompanying third-party notices. Do not apply Modera's proprietary restrictions to third-party components merely because the tools use them.

You retain whatever rights you have in your photos, clothing images, wardrobe data, saved outfits and independently created work. No ownership of those materials is transferred to Modera by this license. Processing by Muse and photo-source services is governed by their applicable terms. Nothing here limits fair use, statutory software rights, permitted interoperability, or other rights that cannot lawfully be restricted.

5. Duration, breach and remedies

The permission continues while you comply with this license. Gagan Gupta may terminate the permission for a material violation by notifying you where reasonably practicable, subject to any notice or cure rights required by applicable law. On termination, stop uses that depend on this license and delete the relevant copies except as required or permitted by law. This does not transfer or require deletion of your own wardrobe data or affect separate third-party licenses.

Gagan Gupta reserves the right to seek remedies available under applicable law for infringement or breach, including appropriate injunctive relief. No automatic fine, predetermined damages, entitlement to an injunction, or waiver of a court's requirements is created by this license.

6. Applicable law and interpretation

To the extent a governing-law choice is effective, New York law governs this license, without overriding applicable federal intellectual-property law or mandatory consumer protections. No provision excludes rights or remedies that cannot legally be excluded. An unenforceable provision will be limited or severed only to the extent permitted by law; the remaining provisions remain effective where lawful.

7. Versions and agreement

This version accompanies releases that expressly identify it. It does not retroactively alter permissions previously granted for older releases or third-party material. A new notice does not by itself create rights absent under law. Downloading, viewing a public URL, receiving an automatic update, or making an ordinary API request is not recorded by Modera as explicit contractual agreement. This document states the scope of the copyright permission offered for these Materials. Modera connection setup has no separate acceptance form and does not record explicit agreement. The connection terms describe the current flow.
